1. Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of AgentDesk, an AI workflow automation platform operated by AgentDesk (“we”, “our”, or “us”). By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use AgentDesk. By using the Service, you represent and warrant that you meet this requirement.

3. Account Registration and Security

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@agentdesk.ai if you suspect unauthorized access.

4. Service Description

AgentDesk provides AI-powered workflow automation tools that allow you to create, configure, and run automated agents. The Service includes:

Agent creation (manual and AI-assisted via natural language)
Workflow execution with triggers (schedule, webhook, email, manual, chain)
Third-party integrations (Gmail, Google Sheets, Slack, Notion, Trello, Webhook)
Human-in-the-loop approval gates
Workspace management and team collaboration
Dashboard analytics and run monitoring

5. Artificial Intelligence Disclosure

AgentDesk uses Anthropic's Claude AI to power AI-driven workflow steps. By using the Service, you acknowledge that:

AI-generated outputs may contain errors, inaccuracies, or biases. You are responsible for reviewing AI outputs before acting on them.
AI outputs are marked as AI-generated within the platform.
Your data sent to the AI is processed under Anthropic's commercial terms and is not used to train AI models.
You should not rely on AI outputs for legal, medical, financial, or other professional decisions without appropriate human review.

6. Acceptable Use

You agree not to use AgentDesk to:

Violate any applicable law, regulation, or third-party rights
Send spam, unsolicited communications, or bulk commercial emails without recipient consent
Distribute malware, phishing, or fraudulent content
Infringe intellectual property or privacy rights
Generate content that promotes violence, hatred, discrimination, or illegal activity
Attempt to circumvent security measures, access controls, or rate limits
Use the Service to build a competing product or to reverse engineer the platform
Store or process sensitive personal data (health, biometric, financial account numbers) without appropriate safeguards
Use AI features for consequential decisions (hiring, lending, insurance, legal) without human oversight

Violation of this section may result in immediate suspension or termination of your account.

7. Subscriptions, Billing, and Refunds

7.1 Plans and Billing

Paid plans are billed on a recurring basis (monthly or yearly). By subscribing, you authorize us to charge your payment method on each billing cycle. Prices are displayed in USD (Stripe) or INR (Razorpay) and are exclusive of applicable taxes.

7.2 Auto-Renewal

Subscriptions auto-renew unless cancelled before the end of the current billing period. We will send a reminder before each renewal. For Razorpay subscriptions, a pre-debit notification is sent at least 24 hours before each charge per RBI guidelines.

7.3 Cancellation

You may cancel your subscription at any time via Settings > Billing. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the period ends.

7.4 Refunds

We offer a 14-day money-back guarantee on all paid plans. EU/EEA residents have a 14-day right of withdrawal under the Consumer Rights Directive. To request a refund, contact billing@agentdesk.ai within 14 days of your purchase.

7.5 Price Changes

We may change our prices with at least 30 days' advance notice via email. Price changes take effect at the start of your next billing cycle after the notice period.

8. Data Ownership and Portability

You own your data. All content, configurations, and data you create or input into AgentDesk remains yours. We claim no ownership over your data.

You grant us a limited, non-exclusive license to process your data solely to provide and improve the Service. This license terminates when you delete your account.

You may export your data at any time via Settings > Export Data. Exports are provided in JSON format.

9. Intellectual Property

AgentDesk and its original content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

10. Third-Party Integrations

AgentDesk connects to third-party services (Google, Slack, Notion, Trello, Stripe, Razorpay) at your direction. Your use of these integrations is also subject to those services' own terms and privacy policies. We are not responsible for third-party service availability, data practices, or changes to their APIs.

11. Limitation of Liability

To the maximum extent permitted by applicable law, AgentDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI-generated outputs will be accurate or suitable for any particular purpose.

13. Indemnification

You agree to indemnify and hold harmless AgentDesk from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights (including through agent workflows you configure).

14. Termination

You may terminate your account at any time by using the account deletion feature in Settings. We may suspend or terminate your account if you violate these Terms, with notice where practicable.

Upon termination, we will delete your data in accordance with our Privacy Policy retention schedule. You may export your data before account deletion.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be resolved through good-faith negotiation first, then through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

If you are an EU consumer, nothing in these Terms affects your statutory rights under applicable EU consumer protection laws, and you may bring proceedings in the courts of your country of residence.

16. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
